Information about private companies and private-market transactions carries risks that information about listed companies usually does not. Please consider them before relying on anything you read here.

Less and later information

Private companies publish less information than listed companies and file it later. Financial statements may be a year or more old by the time they are available, may not be audited to the same standard, and may change on restatement.

Valuations are uncertain

Valuations from funding rounds reflect the terms of that round, which may include rights and preferences that other shareholders do not have. They are not a market price and may not be achievable in a sale.

Shares may be hard or impossible to sell

Shares in private and unlisted companies have no exchange, may have transfer restrictions in the company's articles or in shareholder agreements, may be subject to lock-in after an IPO, and can take a long time to sell, if they can be sold at all.

Plans can change

A draft offer document or an announced IPO plan does not mean a company will list. Filings can lapse or be withdrawn, and timetables change.
