These terms add to the terms of use for anyone who makes a request on the CapitalScope marketplace, and for dealers and partners who use it. The marketplace opens only after an independent legal and regulatory review.
1. What the marketplace is
A place to make a request to buy, a request to sell or a request for a quote for unlisted shares listed on CapitalScope, to receive replies from registered partner dealers, and to be introduced to a registered partner when another member's request may fit yours.
2. What CapitalScope does not do
- It does not buy, sell, hold or transfer securities and does not hold money for anyone.
- It does not execute, arrange, settle or guarantee any trade, and does not set prices.
- It is not a stock broker, dealer, exchange, investment adviser or portfolio manager, and nothing on the marketplace is investment advice.
3. Requests are not offers
A request expresses interest; it is not an offer, an order or a binding commitment, and neither is a dealer's reply. Any trade is agreed directly with a registered partner, under the partner's own KYC checks, documents, terms and charges, and is completed through the depositories in the usual way.
4. Your declarations
Before your first request you confirm that:
- CapitalScope is an information service. It does not buy, sell or hold shares, does not hold money for anyone, does not execute or arrange trades and does not give investment advice.
- A request is not an offer or a binding order. Any trade happens only through a registered partner, under that partner's own KYC checks, terms and charges.
- Unlisted shares can be hard to sell, prices differ widely between dealers and may not reflect value, and I could lose some or all of my money.
- The information I give is true, and when I ask to sell, I hold the shares myself.
- I will not send CapitalScope my PAN, Aadhaar, bank or demat account numbers: a partner collects KYC details itself.
5. Checks and documents
Requests to buy or sell are reviewed before partners see them. For a request to sell, you upload a recent demat holding statement (PDF, PNG or JPEG, up to 5 MB); you may hide account numbers on it. Only you and our reviewers can open it, and it is deleted a set number of days after the review or when the request closes. We may decline or close a request that seems inaccurate, duplicated or improper.
6. Replies, introductions and your consent
- Partner dealers see your request without your identity. A dealer's reply is valid for at most 14 days.
- A dealer sees your name, mobile number, city and e-mail only if you ask it to contact you.
- When we propose an introduction to a partner, it goes ahead only if both members agree within 14 days. The other member's identity is never shown to you, nor yours to them.
- If a partner pays CapitalScope a fee for introductions, this is shown before you agree.
7. Prices
Indicative prices and dealers' quotes are not exchange prices and not guaranteed executable prices. See the unlisted securities disclosure and the risk disclosure.
8. Dealers and partners
- Dealer accounts use two-factor sign-in. Quotes must be prices the dealer would actually deal at, kept current and taken down when they no longer stand.
- Only partners whose registration and referral agreement are recorded see members' requests or receive introductions.
- Members' details may be used only for the request concerned, under the partner's own KYC and data-protection obligations, and the partner records the outcome.
9. Not allowed
False requests or holdings, requests for shares you cannot deal in, attempts to influence prices, and contacting other members outside the process.
10. Liability
CapitalScope is not a party to any trade and is not responsible for a partner's or another member's acts, for whether a trade happens, or for its price, settlement or tax consequences, to the extent the law allows.
